Ruling affirms legality of new form of "poison pill"

A Delaware court decision greenlights a new type of "poison pill," which is an arrangement used by companies to protect themselves from a hostile acquirer. "It's a Good Housekeeping seal of approval," lawyer Gardner Davis said. "If I'm the general counsel of a public company and I'm worried about an activist investor -- and these days, everybody is worried -- this is ... a nice tool to have on the shelf."
