Data Domain board: EMC buyout offer not financially feasible

The board of directors of backup vendor Data Domain is calling on stockholders to reject EMC's $1.8 billion takeover offer and accept a proposed merger with rival NetApp. Although the EMC offer is all cash, as opposed to NetApp's cash and stock offer, were Data Domain to accept the EMC offer, it would have to pay NetApp a $57 million termination fee for canceling its previously established deal, which would more than offset any monetary gains, the board said.
