Simon faces hurdles in acquiring General Growth:

Simon Property Group would need to buy out shareholders who believe General Growth is worth $2 billion and pay down $8.5 billion in debt to close an acquisition of the bankrupt mall operator. Simon was one of many REITs that has raised capital this year to shore up balance sheets and consider fresh acquisitions. Such a merger would create a dominant U.S. mall operator.
