The Sears board of directors has a difficult decision to make in evaluating CEO Edward Lampert's $400 million offer for the retailer's Kenmore appliance brand. The sale would raise much-needed cash as a $133 million debt payment looms, but it would leave the board open to further criticism of self-dealing by Lampert, who is also the retailer's biggest lender and shareholder.
